2. ACCEPTANCE
By placing an order, downloading a customer package, activating a module or using a Product, you agree to these Terms, the Return and Refund Policy, Digital Delivery Policy and Privacy Policy.
Before placing an order, you must have the legal capacity and authority required to enter into the transaction.
If you purchase for a company or other organisation, you confirm that you are authorised to bind that organisation.
Nothing in these Terms limits a right or remedy that cannot lawfully be excluded.
3. PRODUCTS
From My Backpack sells focused digital software Products accessed through a shared application called From My Backpack Core.
A purchase unlocks only the module identified on the relevant product page and order confirmation. Purchasing one module does not unlock other modules unless the offer expressly says otherwise.
Product descriptions, supported file formats, known limitations and prices are displayed on the relevant product page.
4. NO PHYSICAL GOODS
All Products are digital.
No physical goods are shipped and no shipping charge should apply.
Digital delivery is governed by the Digital Delivery Policy.
5. ORDERS
An order is submitted when the customer completes Shopify checkout.
An order is accepted when:
5.1 payment has been successfully confirmed;
5.2 the order is not rejected for suspected fraud, pricing error or unavailability; and
5.3 an order confirmation or digital-delivery notice is issued.
We may cancel and refund an order if:
5.4 payment was not successfully completed;
5.5 the order appears fraudulent or unauthorised;
5.6 an obvious pricing or product-description error occurred;
5.7 the Product is unavailable; or
5.8 fulfilment would be unlawful.
6. PRICES, TAXES AND PAYMENT
Prices are displayed in the currency shown on the store.
Applicable taxes, charges and the total transaction amount are displayed at checkout before the order is submitted.
Payment is processed through Shopify and the payment methods made available at checkout. We do not directly receive or store complete payment-card details.
The customer has an opportunity through Shopify checkout to review the transaction, correct relevant information and withdraw before finally submitting the order.
7. DIGITAL DELIVERY
After successful payment confirmation, the customer will normally receive:
7.1 a Shopify order confirmation;
7.2 an electronic customer-delivery package or download link; and
7.3 instructions for accessing the purchased module through From My Backpack Core.
Digital delivery normally occurs shortly after payment confirmation. Full delivery terms are contained in the Digital Delivery Policy.
8. SOFTWARE LICENCE
Subject to payment and compliance with these Terms, the customer receives a limited, non-exclusive, non-transferable licence to use the purchased Product.
The licence permits:
8.1 an individual customer to use the Product for that customer’s own lawful personal purposes; or
8.2 a business customer to use the Product for its own lawful internal business purposes.
Unless an offer expressly provides otherwise, the licence does not permit the customer to:
8.3 resell, rent, sublicense or commercially redistribute the Product;
8.4 share the licence or activation details with another person or organisation;
8.5 make the Product available as a bureau, managed service or competing product;
8.6 reproduce or distribute customer packages except for reasonable internal backup;
8.7 remove ownership, copyright or attribution notices;
8.8 gain unauthorised access to the source code, licensing systems or security controls;
8.9 bypass an activation or access control; or
8.10 reverse engineer the Product, except to the extent that applicable law expressly prohibits this restriction.
9. DEVICES AND ACTIVATION
Core runs as a desktop application. An individual licence permits two active device installations, shared across purchased FMB tools. Internet is required for activation and periodic licence checks; the application supports up to 30 days offline after a successful check.
Customers should contact support if a legitimate device change prevents activation.
Internal, owner, tester or promotional licences may have different limits and are not transferable to customers.
10. ONE-TIME PURCHASE
Unless expressly identified as a subscription, purchasing a Product is a one-time purchase and does not create a recurring charge.
The purchase provides a licence for the version purchased, subject to these Terms.
The purchase does not guarantee:
10.1 every future major version;
10.2 indefinite compatibility with every device or operating-system version;
10.3 custom development;
10.4 accounting, tax, legal or financial advice; or
10.5 permanent availability of every third-party platform used in delivering the Product.
We may provide maintenance, corrections and updates during the Product’s supported life. A materially new version may be sold separately if clearly disclosed.
11. LOCAL-FIRST FINANCIAL DATA
Imported financial records are processed on the customer’s device and saved in an encrypted local database.
Licence checks are separate from financial records and use only the information reasonably required to confirm purchase access and installation identity.
Customers are responsible for:
11.1 protecting access to their device and Core installation;
11.2 maintaining suitable device security;
11.3 maintaining separate encrypted Core backups;
11.4 keeping their password and recovery key safe; FMB cannot replace a lost recovery key;
11.5 keeping backups and readable record exports private; and
11.6 verifying important results against the underlying evidence.
Core business backups are encrypted. CSV, Excel and other readable record exports are not encrypted and must be kept private.
12. CUSTOMER DATA AND BACKUPS
Financial data belongs to the customer.
A licence suspension, refund, expiry or module-access problem does not transfer ownership of that data to us.
Where technically available, we will maintain a reasonable route for the customer to export existing local data even when module execution is unavailable.
We are not responsible for data loss caused by:
12.1 deletion of local Core records;
12.2 device loss or damage;
12.3 use on an unsupported operating system;
12.4 failure to create or retain backups;
12.5 malicious software or unauthorised device access; or
12.6 circumstances outside our reasonable control, except to the extent that liability cannot lawfully be excluded.
13. CUSTOMER INPUTS AND RESPONSIBILITY
The Products rely on data, mappings, dates, currencies, balances, classifications and confirmations supplied by the customer.
The customer is responsible for checking:
13.1 the completeness and accuracy of source data;
13.2 mapping and format choices;
13.3 balances and reporting currencies;
13.4 assumptions, exceptions and unresolved ambiguities; and
13.5 results before relying on them.
The Products are designed to expose uncertainty and exceptions, but no automated process can guarantee that source data is complete or correct.
14. NOT FINANCIAL, ACCOUNTING, TAX OR LEGAL ADVICE
The Products are practical information and control tools.
They do not provide:
14.1 regulated financial advice;
14.2 investment advice;
14.3 accounting or audit opinions;
14.4 tax advice;
14.5 legal advice; or
14.6 a guarantee of any financial outcome.
Customers remain responsible for their decisions and should consult an appropriately qualified professional where professional advice is required.
15. INTELLECTUAL PROPERTY
The original proprietary intellectual property in the Products is owned by Jade Bridger and exclusively licensed to Axioma Logic (Pty) Ltd for the operation of From My Backpack.
Axioma Logic (Pty) Ltd is the authorised commercial operator and seller of the Products.
Third-party and open-source components remain the property of their respective owners and are used under their applicable licences.
Purchasing a Product does not transfer ownership of the Product, its source code, design, brand, calculations or underlying intellectual property to the customer.
16. SUPPORT
Support is available at orders@frommybackpack.com.
When requesting support, provide the order number, browser, device type, step that failed and exact message displayed.
Do not send:
16.1 passwords;
16.2 complete payment-card information;
16.3 one-time PINs;
16.4 bank login details;
16.5 unredacted bank statements; or
16.6 unredacted transaction exports,
unless we specifically agree on a safe and necessary method for providing a redacted example.
17. REFUNDS AND CANCELLATIONS
Refunds and cancellations are governed by the Return and Refund Policy available at:
https://frommybackpack.com/policies/refund-policy
Nothing in these Terms removes a statutory cancellation, cooling-off, repair, replacement or refund right.
18. PRIVACY AND SECURITY
Personal information is handled according to the Privacy Policy available at:
https://frommybackpack.com/policies/privacy-policy
Shopify and the selected payment provider process purchase and payment information according to their respective policies.
Financial source files and results are not included in licence checks.
No system can be guaranteed completely secure. Customers should not send sensitive financial records through ordinary email.
19. PRODUCT AVAILABILITY AND CHANGES
We may make reasonable changes to improve security, reliability, compatibility, usability or compliance.
We will not intentionally remove a material purchased function without a legitimate reason and an appropriate customer remedy where required by law.
We may suspend access temporarily to:
19.1 respond to a security incident;
19.2 prevent fraud or misuse;
19.3 perform necessary maintenance;
19.4 comply with law; or
19.5 protect customers or the service.
20. THIRD-PARTY SERVICES
The store and Products may depend on services supplied by Shopify, Cloudflare, payment providers, browser vendors and other third parties.
Those services are governed by their own terms and may change or experience interruptions.
We remain responsible for our own obligations but cannot control every third-party service.
21. FAIR LIMITATION OF LIABILITY
To the fullest extent permitted by law, we are not liable for indirect or consequential loss arising solely from:
21.1 inaccurate or incomplete customer data;
21.2 an unconfirmed mapping or assumption;
21.3 failure to retain a backup;
21.4 deletion of browser storage;
21.5 use on an unsupported device or browser;
21.6 unauthorised customer account or device access; or
21.7 a third-party interruption outside our reasonable control.
Nothing in these Terms excludes or limits:
21.8 liability that applicable law does not permit us to exclude;
21.9 liability for intentional misconduct or gross negligence;
21.10 statutory product-quality or consumer rights; or
21.11 an obligation to provide a legally required refund or remedy.
22. SUSPENSION OR TERMINATION
We may suspend or terminate a customer licence for a material breach of these Terms, fraud, unauthorised resale, deliberate circumvention of licence controls or unlawful use.
Where reasonably possible, we will notify the customer and provide an opportunity to correct a remediable breach.
Termination does not remove obligations or rights that accrued before termination.
Customer financial records remain the customer’s property.
23. TRANSACTION RECORDS
Shopify retains order records according to its platform and legal-retention requirements.
Customers should retain their order confirmation and purchase email.
A customer may request available information about an order by contacting orders@frommybackpack.com, subject to identity verification, privacy obligations and applicable retention laws.
24. COMPLAINTS
Send complaints to:
hello@frommybackpack.com
Include the order number, relevant facts, requested resolution and contact details.
We will first attempt to resolve the complaint directly and in good faith.
Consumers may also approach an appropriate consumer-protection body, ombud or court where entitled to do so.
We do not claim membership of a voluntary accreditation or alternative-dispute-resolution body unless expressly stated on the website.
25. CHANGES TO THESE TERMS
We may update these Terms for legal, regulatory, security or operational reasons.
The updated version and its effective date will be published on the website.
A change will not retrospectively remove a right already accrued under a completed purchase.
26. GOVERNING LAW
These Terms are governed by the laws of the Republic of South Africa.
This does not remove a mandatory consumer-protection right that applies to a customer in another jurisdiction.
27. GENERAL
If part of these Terms is invalid or unenforceable, the remaining provisions continue to apply.
A failure to enforce a provision immediately does not waive that provision.
These Terms, together with the referenced policies and the applicable product description and order confirmation, record the agreement concerning the purchase and use of the Product.
